To help ease the burden of doing business in a COVID-19 world, the government has provided temporary relief to the manner in which companies can execute documents without their common seal. Counterpart signatures, which can be physical or electronic, can now be used by companies to execute documents.

The counterpart must include the entire contents of the document, but does not need to include the signature of another person signing.

The relief reverses the popular view that documents signed under section 127 cannot be signed electronically or in counterparts.

However, while beneficial, the relief is only temporary and will expire in 6 months.
